FIRST AMENDMENT TO BY-LAWS
PARK TOWER CONDOMINIUM ASSOCIATION
WHEREAS, American National Bank and Trust Company of Chicago, as Trustee under Trust Agreement dated August 17, 1971 and known is Trust No. 27802 heretofore executed a certain Declaration of Condominium pursuant to the Condominium Property Act for Park Tower which was recorded in the office of the Recorder of Deeds for Cook County, Illinois as Document No. 24374698 attached to which as Exhibit “C” are certain By-laws of the Park Tower Condominium Association, affecting the real estate in the City of Chicago, County of Cook, State of Illinois legally described in Exhibit “A”. Attached hereto; and
WHEREAS, Article XII of the By-laws provides as follows:
“Until the date of the first annual meeting of the members, these By-laws may be altered, amended or repealed, and new By-laws may be-adopted, by the affirmative vote of a majority of the directors in office. From and after the date of the first annual meeting of the members, these By-laws, except paragraphs (d) and (h) of Section 2 of Article VI, Article XIV and this Article XII may be altered, amended or repealed and new By-laws may be adopted by the affirmative vote of 66-2/3 per cent of all of the members at a regular meeting or at any special meeting called for such purpose. Article XIV and this Article XII may not be amended. Paragraphs (d) and (h) of Section 2 of Article VI may be amended as set forth in the first sentence of paragraph 19 of the Declaration.”
WHEREAS, the Board of Directors of the Park Tower Condominium Association has unanimously adopted a resolution recommending to the Owners of units in the Park Tower Condominium that the By-laws amended in the manner hereinafter set forth; and
WHEREAS, members of the Park Tower Condominium Association representing in the aggregate not less than 66-2/3% of all of the members thereof have by affirmative vote at a special meeting of the members adopted the amendment to the By-laws hereinafter set forth;
NOW, THEREFORE, the By-laws are hereby amended as follows:
1. Article VI, Section 2(l) of the By-laws is hereby deleted in its entirety.
2. Except as herein above amended, the By-laws shall remain in full force and effect.
